Corporate Manager AVP/VP

Our client manages a range of dynamic investments for a leading international asset manager. Their Head of Legal seeks an experienced Corporate Officer / Manager at either AVP or VP level. You'll have excellent English languages skills (C2 / fluent) to work in a hands-on team, managing a range of corporate governance and transaction matters. • You’ll be responsible for corporate compliance matters, such as maintaining company records, RCS filings, etc.
• You’ll coordinate board meetings, draft minutes and follow up on matters arising
• You’ll maintain all documents relevant to the relevant company’s lifecycle.
• You’ll help with improvements to policies and procedures for the smooth and proper functioning of the Board
• Work with the investment team to manage transactions and restructurings from the perspective of Board approvals, coordination and documentation
• Manage different stakeholders, including Director logistics, contracts, etc., and third party queries (e.g. From auditors, lawyers, etc.)
• Undertake ad hoc project work

To thrive in this role you must:
• Be a real team player, able to roll-up your sleeves and be flexible, supportive and constructive with colleagues
• Have experience working in-house for an investment manager or AIFM
• Have solid experience in Luxembourg in a related Company Secretary / governance role, with at least 7 or 8 years’ experience (probably more) in corporate governance. Experience in infrastructure or PE would be ideal.
• Be fluent in English, and happy in an international working environment
